GENERAL TERMS OF SALE AND PERFORMANCE OF SERVICES BY THE LABORATOIRE NATIONAL DE METROLOGIE ET D'ESSAIS (LNE) AND G-MED NORTH AMERICA (G-MED NA)
1. GENERAL PROVISIONS
LNE subsidiary G-MED NA performs all types of certification work (studies, expert surveys and audits) according to the conditions laid down by LNE, in the context of all mandatory or voluntary certification procedures. The work is performed according to the terms specified hereinafter. These terms take precedence over customers’ terms of purchase and may be modified only by special conditions expressly accepted by LNE.
LNE/G-MED and G-MED NA undertake not to release any information regarding the work it is entrusted with to third parties without the customer's prior agreement. LNE/G-MED and G-MED NA staff is contractually bound by professional secrecy.
Work corresponding to a service is undertaken only after G-MED NA has issued a quotation as instructed by LNE and has received a written order from the customer, drawn up in due form on corporate letterhead. The order must include the date, a precise description of the service to be performed, the quotation reference and the position of the signatory. Performance of the service implies acceptance by the customer of these terms of sale and any special conditions specified in the quotation.
4. CONDITIONS AND LEAD TIME FOR PERFORMANCE OF SERVICES
LNE, as a notified body and a certification body, entrusts G-MED NA with performance of services.
Lead times stated on the quotation are given as an indication only. Unless otherwise indicated, they run from the date of receipt of the order and the possible start of the service. A delay caused by the customer's failure to comply with contractual obligations will extend the lead-time by an equivalent period.
5. FINANCIAL TERMS AND CONDITIONS
The prices stated on the website are calculated on the basis of production cost and reasonable margin. The website has a maximum quantity of Charpy specimens that it is able to sell at one time to one customer. If the customer wishes to purchase more than 20 specimens at one time, the customer should contact LNE/G-MED at (301) 495-0477.
Before undertaking performance of a service or issuing a document, G-MED NA may require advance payment of the total price, or interim payment of an amount which will be set by LNE, if the customer has debts outstanding or cannot provide sufficient financial guarantees covering payment of invoices when due.
All costs corresponding to the service provided or undertaken by LNE remain acquired or due for payment regardless of the service outcomes.
6. PROVISION AND USE OF RESULTS
Results of services performed by G-MED NA are recorded in documents drawn up by LNE on LNE/G-MED letterhead. A single copy of each document is provided, bearing the customer’s name. Further certified true copies may be issued, for a fee, during a period of 10 years following the date of issue of the original document. They may be sent to third parties if requested by the customer or by an authorized body, or in the context of a certification service, which by definition involves publication.
Only original LNE documents and certified true copies shall be considered authentic by third parties. These documents may not be altered in any way after receipt. Reproduction of an LNE document is authorized on condition that it is reproduced in full. Reference to LNE’s services in any other form may be made only after written approval has been obtained from LNE.
Any use of certificates issued by LNE or reference to work performed by LNE which is liable to mislead consumers or users of a product or document may result in prosecution in accordance with the regulations in force.
The LNE and G-MED brands and logos are the sole property of LNE. Any reproduction of them in whole or in part is strictly prohibited and may result in prosecution, unless written agreement has been obtained from LNE.
G-MED NA and LNE assumes no responsibility, except in the event of a serious fault proved by the Company.
In the event of an error shown to have been committed by G-MED NA and/or LNE, their liability is limited in all cases to the fees (excluding taxes) of the service in question, irrespective of the loss incurred, to the exclusion of any other compensation.
The laws of the Republic of France govern these general terms of sale. Any dispute that may arise, regardless of the nature thereof, shall be brought before the Courts of Paris, France. This applies even in cases of urgent procedure, incidental claims, joint defendants or introduction of third parties.
